1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "User") and Hillway Property Consultants Ltd ("Company", "we", "us", or "our"), governing your access to and use of the Spotter platform at www.spotterai.uk (the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.

2. Description of Service

Spotter is an AI-powered business development platform that:

• Discovers business opportunities from publicly available sources
• Scores and ranks opportunities based on your preferences
• Generates draft outreach communications
• Provides pipeline management and analytics

3. Account Registration

3.1 Account Creation

To use the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate.

3.2 Account Security

You are responsible for safeguarding your account credentials and for all activities that occur under your account. Notify us immediately of any unauthorised access.

3.3 Account Types

Accounts are tied to organisations. Organisation owners can add team members subject to their subscription plan limits.

4. Subscription and Payment

4.1 Free Trial

New users receive a 14-day free trial with full access to their chosen plan features. No credit card is required to start the trial.

4.2 Subscription Plans

After the trial, continued access requires a paid subscription. Plans are billed monthly or annually as selected at checkout. Prices are in British Pounds (£) and exclude VAT where applicable.

4.3 Payment Processing

Payments are processed securely through Stripe. By providing payment information, you authorise us to charge the applicable fees.

4.4 Cancellation

You may cancel your subscription at any time through account settings. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial periods.

4.5 Plan Changes

You may upgrade or downgrade your plan at any time. Upgrades take effect immediately (with prorated billing). Downgrades take effect at the next billing period.

5. Acceptable Use

You agree NOT to:

• Use the Service for any unlawful purpose
• Attempt to gain unauthorised access to any part of the Service
• Interfere with or disrupt the Service or servers
• Reverse engineer, decompile, or disassemble the Service
• Use automated systems (bots, scrapers) to access the Service
• Resell or redistribute the Service without authorisation
• Upload malicious code or attempt to compromise security
• Violate any applicable laws or regulations

6. Intellectual Property

6.1 Our IP

The Service, including all software, content, features, and functionality, is owned by Hillway Property Consultants Ltd and protected by intellectual property laws. You receive a limited, non-exclusive, non-transferable license to use the Service for your business purposes.

6.2 Your Content

You retain ownership of content you upload (business profiles, feedback, notes). You grant us a license to process this content to provide the Service.

6.3 AI-Generated Content

Outreach drafts and insights generated by the AI are provided for your use. You are responsible for reviewing and modifying AI outputs before use.

7. Data and Privacy

Our collection and use of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

8. Disclaimers

8.1 Service Availability

The Service is provided "as is" and "as available" without warranties of any kind. We do not guarantee uninterrupted or error-free operation.

8.2 Opportunity Information

Opportunities surfaced by Spotter are derived from publicly available sources. We do not guarantee the accuracy, completeness, or timeliness of opportunity information. You should independently verify opportunities before pursuing them.

8.3 AI Outputs

AI-generated content (scores, insights, draft outreach) is provided as assistance only. The AI may produce errors or inaccuracies. You are responsible for reviewing and verifying all AI outputs before use.

8.4 No Business Guarantee

We do not guarantee that using Spotter will result in new business, contracts, or revenue. Success depends on many factors outside our control.

9. Limitation of Liability

To the maximum extent permitted by law, Hillway Property Consultants Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities.

Our total liability for any claims arising from these Terms or the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless Hillway Property Consultants Ltd and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service or violation of these Terms.

11. Termination

We may suspend or terminate your access to the Service immediately for violation of these Terms. For any other reason, we will provide 30 days written notice before termination. Upon termination, your right to use the Service ceases immediately.

You may terminate your account at any time by contacting support or through your account settings. We require 30 days notice for cancellation, which can be given at any time. Termination does not entitle you to a refund of any fees paid.

12. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by email or through the Service. Continued use of the Service after changes constitutes acceptance of the modified Terms.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
